Yuexiu Group and GRAM Reach Agreement on Acquisition of highway Assets at 15 Billion RMB

On December 28, 2018, Guangzhou Yuexiu Group Co., Ltd. (“Yuexiu Group”) and Guangdong Rising Assets Management Co., Ltd. (“GRAM”) officially reach agreement on transfer of highway assets at 15 billion RMB (“Agreement”), witnessed by Li Cheng (Director of Guangdong State-owned Assets Supervision and Administration Commission), Chen Haotian (Director of Guangzhou State-owned Assets Supervision and Administration Commission), Xu Guang (Chairman of GRAM) and Zhang Zhaoxing (Chairman of Yuexiu Group) who are present at the signing ceremony. The ceremony is also attended by such leaders as Zhang Liang (Chairman of the Supervisory Board), Ma Jianhua (Deputy General Manager) and Xu Hongfeng (External Director) from GRAM and Yuan Xinghou (Chairman of the Supervisory Board), Li Feng (Chief Capital Operation Officer), He Yuping (Chief Legal Advisor), Liu Yan (HR Director) and He Baiqing (General Manager of Yuexiu Transport Infrastructure Ltd.) from Yuexiu Group.

The GRAM’s highway assets package transferred under the Agreement is priced at over 15 billion RMB, with a shareholding length of around 200 kilometers. After years of operation, the three highways involved in the assets package have enjoyed a robust increment in tolls with a long remaining term of tolling, as well as distinct geographic advantages. From the aspect of economic condition in the region where the highways are located, the project lies in the east of Hubei Province where economy and population are assembled, which will benefit from the increasing cargo and passenger flows brought by the steady growth of economy and population in the region. Among the three highways, two are outward passages of Wuhan City with apparent superiority in location favored by its radiation effects; the third one is a longitudinal part of the “71118” network which is the national highway network plan approved by the State Council. The assets package is expected to enter a rapidly growing period in about 2022 with a constant increase of toll income in future.

At the ceremony, Xu Guang (Chairman of GRAM) holds that the transfer of GRAM’s highway assets package equity is a result of the significant supports and coordination by competent authorities on provincial and municipal levels, as well as of the active conducts and mission fulfillments by both GRAM and Yuexiu Group, which realizes the optimal transfer and rational distribution of state-owned assets between a provincial enterprise and a municipal enterprise, and will become a new example that plays a demonstrative and incentive role in the state-owned enterprise reform of Guangdong province. He also indicates that the successful transfer of the highway assets package equity will accelerate GRAM’s exit from the real properties construction which is not its major business and propel GRAM’s concentration to such resource-oriented and pilot industries as mining, electronic information and environment protection which will further fortify the core competitiveness of the Company’s major businesses.

Zhang Zhaoxing (Chairman of Yuexiu Group) maintains that Yuexiu Group and GRAM have good foundations for cooperation such as the Comprehensive Strategic Cooperation Framework Agreement executed in December 2014 and the tight collaboration in the Yuexiu Binhai New Town project at Nansha District with each other. The Agreement signing today marks a further and deeper cooperation between the parties towards a new stage. Under the great supports and guidance of the State-owned Assets Supervision and Administration Commissions on provincial and municipal levels, the Agreement finally comes into a conclusion, which is materially meaningful to Yuexiu Group’s development of its major business in transport and helpful in further exerting its role as a “stabilizer” in the transport sector and reinforcing its future growth. Since the beginning of this year, under the grim situations of heavier pressure of economic downturn, stronger financial supervision and stricter regulation on real properties, the Group has risen to the challenges and taken positive actions to realize a steady increase in the main operational indicators and make painstaking achievements in business performance, with a revenue of 47.5 billion RMB, a profit of around 12 billion RMB and a total assets value of over 520 billion RMB as estimated for the full year. Looking forward, Yuexiu Group will continue to deepen its reform and innovation and make full efforts to grasp the opportunity of the Guangdong-Hong Kong-Macao Greater Bay Area construction, with persistent adherence to the strategic orientation of stabilizing, strengthening and expanding its financial services, strengthening, optimizing and expanding its real properties and steadily developing its transport utilities. In this process, the Group is eager to work more intensively with the state-owned enterprises on all levels to seek growth together on a win-win basis.

Before execution of the Agreement, Yuexiu Group and GRAM have made a lot of communications on the assets package in question and employed professional agencies to prepare due diligence reports on finance, tax, legality and capital verification, so as to prudently identify the risks in the project and correspondingly formulate pertinent measures, which have laid the foundation for smooth completion of the equity transfer between both parties.
